Terms of Service

1. Agreement

These Terms govern your use of Vega (the "Service"). By creating an account or using the Service, you agree to these Terms, our Privacy Policy, and our Risk Disclosure. If you do not agree, do not use the Service.

2. What Vega is

Vega is an educational tool for designing, backtesting, validating, and optionally auto-executing systematic crypto trading strategies on third-party venues such as Hyperliquid. Vega is not a broker, exchange, investment adviser, or fund, and does not take custody of your funds.

3. Eligibility

You must be at least 18 years old and legally permitted to use the Service and any connected trading venue in your jurisdiction. You are responsible for compliance with all laws that apply to you.

4. Your account and wallets

• You are responsible for activity under your account and for safeguarding access to it.
• When you authorize trading, you grant a trade-only agent wallet permission to place and cancel orders. You may revoke it at any time. You remain in control of your funds.
• You must provide accurate information and keep it current.

5. No advice; your decisions

The Service provides tools and information only. It does not recommend trades or guarantee outcomes. All trading decisions and their consequences are yours. See the Risk Disclosure.

6. Acceptable use

You agree not to:

• Use the Service for unlawful purposes or to evade jurisdictional restrictions.
• Attempt to disrupt, reverse-engineer, scrape, or overload the Service or its APIs.
• Misrepresent your identity or eligibility.

7. Fees

Vega offers a Free plan (no payment information required) and a paid Pro plan billed at $29.99 per month. When you subscribe to Pro, you authorize a recurring monthly charge through our payment processor (Stripe). You may cancel at any time, effective at the end of the current billing period; fees already paid are non-refundable except where required by law. We will disclose any price change before it takes effect.

8. Third-party services

The Service relies on third parties (e.g. Hyperliquid for execution and market data, wallet providers for sign-in). Your use of those services is subject to their terms, and we are not responsible for their acts, omissions, downtime, or losses arising from them.

9. Disclaimers and limitation of liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Vega and its operators will not be liable for any trading losses or for indirect, incidental, or consequential damages arising from your use of the Service.

10. Termination and changes

We may suspend or terminate access for violations of these Terms, and we may update the Service or these Terms over time. Material changes will be reflected by the "Last updated" date; continued use after a change constitutes acceptance.

11. Operating entity and governing law

Vega is operated by Will Granchi, a sole proprietor doing business as "Vega," located in the State of Florida, United States. These Terms are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Florida, and you consent to the personal jurisdiction and venue of those courts.
